License Agreement
GENERATOR and GENERATOR FREE Desert Fuzz LLC — effective [date].
This page is a working draft and has not yet been reviewed by counsel. It is published for reference while the review is under way.
This is a legal agreement between you (an individual, or the company you represent) and Desert Fuzz LLC, a Nevada limited liability company (“Desert Fuzz”, “we”). By installing, activating or using the software you accept it. If you do not accept it, do not install the software; if you bought it, request a refund under section 9 within 14 days.
1. Definitions
“Software” means the GENERATOR plugin and standalone application in every format we ship (VST3, Audio Units, AAX, CLAP, standalone), its presets, factory impulse responses, manual and updates. “FREE” means the GENERATOR FREE edition. “Key” means the license key we issue to you for the paid edition. “Machine” means one computer under your control.
2. License grant
Subject to this agreement, Desert Fuzz grants you a perpetual, non-exclusive, non-transferable license to install and use the Software on up to three (3) Machines at a time for any purpose, including commercial music production. FREE is licensed on the same terms without a Key and without a Machine limit. Audio you make with the Software is yours; we claim no rights in it.
3. What you may not do
You may not:
-
sell, rent, lend, sublicense or share a Key, or transfer it except under section 4;
-
circumvent, disable or reverse engineer the license check or the activation file;
-
decompile or disassemble the Software except where law forbids us from prohibiting it;
-
redistribute the Software, its presets or its factory impulse responses, alone or in another product;
-
use the Software to build a competing product’s models by capturing it;
-
remove any notice.
4. Transfer
You may transfer your license once to another person by asking us to reissue the Key to them and deactivating all of your Machines; we may charge a reasonable fee [amount/none]. FREE needs no transfer.
5. Activation and privacy
The paid edition verifies your Key on the Machine, offline, and writes an activation file there. The Software sends nothing to us during use. If you turn on “check for updates”, it sends the Software’s version and platform to our server and nothing else. The store on desertfuzz.com processes your purchase under the Desert Fuzz Privacy Notice .
6. Updates and support
Updates within the same major version (1.x) are free. A later major version may be a paid upgrade; the version you bought keeps working. Support is by email at [support@desertfuzz.com] with no guaranteed response time. We may end support for an operating system or plugin format after notice on the product page.
7. Ownership
The Software is licensed, not sold. Desert Fuzz owns the Software, its circuit models, presets and factory impulse responses. Third-party components are listed in the Software’s notices file and remain under their own licenses. The trademarks named in the Software’s disclaimer belong to their owners and identify the circuits studied; nothing in the Software is endorsed by them.
8. Warranty
For 14 days after purchase we warrant that the Software will perform substantially as described on the product page on a supported system. Otherwise, to the extent the law allows, the Software is provided “as is” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9. Refunds and revocation
You may request a refund within 14 days of purchase for any reason; on refund your Key is revoked and you must uninstall the paid edition. We may revoke a Key that was obtained by fraud, chargeback, or in breach of section 3, after notice by email where possible. See the refund policy for how to ask.
10. Limitation of liability
To the extent the law allows, Desert Fuzz is not liable for indirect, incidental, special or consequential damages, or lost profits, data or sessions, and our total liability under this agreement is limited to the amount you paid for the Software (zero for FREE).
11. Termination
This agreement ends if you materially breach it and do not cure within 30 days of notice. On termination you must stop using and uninstall the Software. Sections 3, 7, 8, 10 and 12 survive.
12. Governing law and disputes
Nevada law governs, without regard to its conflict rules. Disputes go to the state or federal courts in Clark County, Nevada, and both sides consent to their jurisdiction. If a term is unenforceable, the rest stands. This is the whole agreement about the Software and replaces any prior terms.
